ProSiebenSat.1 lines up Morgan Stanley in defence against MFE's bid, sources say

ProSiebenSat.1 has lined up defence advisers, including Morgan Stanley, after receiving a takeover bid from its largest investor MFE-MediaForEurope, the TV group controlled by Italy's Berlusconi family, two people with knowledge of the matter said. Last week, MFE launched a bid for the shares of ProSieben it does not already own, offering the minimum price allowed by the German law, equal to the volume-weighted average price of ProSieben shares over the past three months. Due to the structure of MFE’s bid, ProSiebenSat.1’s defence strategy may be limited, but will likely include improving performance within the group's different businesses, according to one of the people.

ProSieben oks General Atlantic deal on digital assets

German media group ProSiebenSat.1 said on Thursday it has approved an agreement with U.S. private equity firm General Atlantic on the acquisition of the U.S. firm's minority stakes in dating platform ParshipMeet and internet holding NuCom Group. The deal with General Atlantic is expected to pave the way to the sale of ProSieben digital assets, including e-commerce portal Verivox to Italy’s Moltiply Group. ProSieben agreed to pay 10 million euros ($10.85 million) in cash and 5.9 million treasury shares of the company, with a current market value of 38 million euros and corresponding to 2.5% of the company’s share capital.

BERLIN/MILAN (Reuters) -The supervisory board of ProSiebenSat.1 has put on hold a potential deal that could hand U.S. private equity firm General Atlantic a minority stake in the German broadcaster, sources told Reuters on Monday. General Atlantic is a co-investor in ProSieben's internet units - price comparison website Verivox, perfume e-retailer Flaconi, and online dating platform ParshipMeet Group - which the TV group is looking to sell. ProSieben said earlier this month it was working on a deal to buy the U.S. firm's minority stakes in ParshipMeet and in NuCom Group, the holding company housing Verivox and Flaconi, using as payment a mandatory convertible bond it would issue.
