DirecTV calls off acquisition of rival Dish, possibly ending a yearslong pursuit

DirecTV is calling off its planned acquisition of rival Dish after the offer was rejected by bond holders at that company. The deal was reliant on Dish bond holders agreeing to trade in the debt they held for debt in the new company, a swap that would have cost them about $1.6 billion, collectively. The retreat by DirecTV this week may end a years-long effort by the company to acquire both Dish and Sling after it announced the bid in September.

DirecTV terminates Dish deal over failed debt swap

(Reuters) -U.S. satellite TV provider DirecTV said on Thursday it had terminated its agreement to acquire Echostar's satellite television business, which includes rival Dish TV, over a failed debt-exchange offer. For the deal to go through, Dish bondholders had to agree to exchange their debt for new debt in the merged entity at a discounted rate, taking a "haircut" of about $1.57 billion on the debt. As part of the transaction, DirecTV was to pay $1 to buy the pay-TV business called Dish DBS, including Dish and Sling TV, with the assumption of about $9.75 billion of Dish's debt.

A group of Dish bondholders on Monday rejected the proposed debt-exchange offer from DirecTV that was contingent upon them accepting a "haircut" of $1.5 billion. "A successful exchange was a condition for acquiring the Dish video business," a DirecTV spokesperson told Reuters in an emailed statement. "Given the outcome of the EchoStar exchange, DirecTV will have no choice but to terminate the acquisition of Dish by midnight on Nov. 22."

NEW YORK (Reuters) -DirecTV on Monday agreed to buy EchoStar's satellite television business that includes Dish TV, capping decades of on-and-off talks to create one of the nation's largest pay TV distributors with a combined 20 million subscribers. The transaction comes at a time when satellite TV services DirecTV and Dish are hemorrhaging market share to competitors such as Netflix and Amazon's Prime Video, which have benefited from changing consumer habits and the rising popularity of streamed video.
