Possible Bearish Signals With Berkshire Hathaway Insiders Disposing Stock

In This Article:

The fact that multiple Berkshire Hathaway Inc. (NYSE:BRK.A) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Berkshire Hathaway

The Vice Chairman of Insurance Operations & Director, Ajit Jain, made the biggest insider sale in the last 12 months. That single transaction was for US$139m worth of shares at a price of US$695,418 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$767,200. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was 63% of Ajit Jain's holding.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Berkshire Hathaway insiders own 15% of the company, currently worth about US$163b based on the recent share price. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
