How Much Are HealthStream, Inc. (NASDAQ:HSTM) Insiders Spending On Buying Shares?

We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So before you buy or sell HealthStream, Inc. (NASDAQ:HSTM), you may well want to know whether insiders have been buying or selling.

Do Insider Transactions Matter?

It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, rules govern insider transactions, and certain disclosures are required.

We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But equally, we would consider it foolish to ignore insider transactions altogether. For example, a Harvard University study found that 'insider purchases earn abnormal returns of more than 6% per year'.

The Last 12 Months Of Insider Transactions At HealthStream

The Chairman Robert Frist made the biggest insider purchase in the last 12 months. That single transaction was for US$223k worth of shares at a price of US$24.83 each. That means that an insider was happy to buy shares at around the current price of US$25.85. That means they have been optimistic about the company in the past, though they may have changed their mind. While we always like to see insider buying, it's less meaningful if the purchases were made at much lower prices, as the opportunity they saw may have passed. The good news for HealthStream share holders is that an insider was buying at near the current price. Robert Frist was the only individual insider to buy shares in the last twelve months.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. It's great to see that HealthStream insiders own 20% of the company, worth about US$166m. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
