Calgary, Alberta--(Newsfile Corp. - December 23, 2024) - Comprehensive Healthcare Systems Inc. (TSXV: CHS) (the "Company" or "CHS"), an industry leader in healthcare benefits administration software and services announces the termination of previously announced private placement. The Company is pleased to announce that a new non-brokered private placement has been launched under new terms for gross proceeds of up to $1,240,000 (the "Offering").

The Offering will consist of up to 124,000,000 common shares (no warrants) at a price of $0.01 per share for gross proceeds of up to $1.24 Million. The Offering remains subject to regulatory approval and the approval of the TSX Venture Exchange.

The Company will use the proceeds of the Offering for working capital and for meeting certain essential obligations of the Company. None of the proceeds received will be used to pay non-arm's length parties and the Company confirms that not more than 10% of the proceeds of the proposed financing will be used for Investor Relations Activities.

The securities issued in the Offering will be subject to applicable hold periods imposed under applicable securities legislation, including a hold period of 4 months and one day from the date of issuance. The Company may pay a finder's fee on a portion of the gross proceeds of the Offering.

The securities issued under the Private Placement will be offered by way of private placement in Canada and to certain subscribers in the United States, pursuant to applicable exemptions from the prospectus requirements under applicable securities laws.
