Vancouver, British Columbia--(Newsfile Corp. - October 8, 2024) - BuildDirect.com Technologies Inc. (TSXV: BILD) ("BuildDirect" or "Company"), a leading omnichannel building material retailer, today announced that it has granted an aggregate of 150,000 stock options to one employee and one consultant of the Company and its subsidiaries in accordance with the Company's Omnibus Equity Incentive Plan (the "Plan"). These stock options will vest in stages over a 4-year period, are exercisable for common shares of the Company at an exercise price of $0.40 per stock option and expire 10 years from the grant date subject to the terms of the Plan.
In addition, BuildDirect has retained Thesis Capital Inc. ("Thesis"), a leading capital markets advisory firm servicing Canadian small capitalization companies across North American markets, to provide investor relations and advisory services to the Company. Thesis has been engaged for an initial period of twelve (12) months expiring on October 8, 2025 which may be extended upon mutual written agreement of the parties. Thesis will be paid a monthly fee of CAD $6,500 as well as reasonable out of pocket expenses and applicable taxes. BuildDirect has also granted Thesis 100,000 stock options in accordance with the Plan. These stock options will vest in stages over a 12-month period, are exercisable for common shares of the Company at an exercise price of $0.40 per stock option and expire 3 years from the grant date subject to the terms of the Plan. This engagement remains subject to acceptance by the TSX-Venture Exchange (the "TSX-V"). Thesis and the Company are unrelated and unaffiliated entities but Thesis and/or its clients may have an interest, directly or indirectly, in the securities of the Company. Thesis has agreed to comply with all applicable securities laws and the policies of the TSX-V in providing the above services.
