Winnipeg, Manitoba--(Newsfile Corp. - December 31, 2024) - Beyond Lithium Inc. (CSE: BY) (OTCQB: BYDMF) (the "Company" or "Beyond Lithium") is pleased to announce the closing of a non-brokered private placement of 5,000,000 units of the Company (the "Units") for aggregate gross proceeds of $250,000 (the "Offering"), previously announced on October 1, 2024 and December 2, 2024. Each Unit consists of one common share in the capital of the Company (a "Share") and one-half of one common share purchase warrant of the Company (each whole warrant, a "Warrant"), with each warrant entitling the holder to purchase one common share in the capital of the Company for a period of 24 months from the date of issuance at an exercise price of $0.10 per share.

The Company intends to allocate the net proceeds for general corporate and working capital purposes.

In connection with the Offering, the Company paid certain eligible third parties dealing at arm's length with the Company (the "Finders"): (i) cash commissions totaling $17,500, representing 7.0% of the proceeds raised from subscribers introduced to the Company by such Finders; and (ii) an aggregate of 350,000 non-transferable broker warrants (the "Broker Warrants"), representing 7.0% of the number of Units sold to such subscribers, each exercisable to acquire one common share of the Company for 24 months from the date of issuance at exercise price of $0.05 per share.

The securities issued pursuant to the Offering will be subject to a four-month hold period from their date of issuance. The offered securities have not been registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
