Toronto, Ontario--(Newsfile Corp. - February 9, 2023) - PNG Copper Inc. (CSE: PNGC) ("PNG Copper" or the "Company") is pleased to announce that it has closed the second and final tranche of a brokered private placement financing announced on January 27, 2023 (the "Financing"). The first tranche of the Financing raised gross proceeds of $183,000 from the issuance of 18,300,000 units (each. a "Unit") at a price of $0.01 per Unit. This final tranche of the Financing raised gross proceeds of $317,000 from the issuance of 31,700,000 Units at a price of $0.01 per Unit.
Each Unit is comprised of one common share in the capital of the Company and one warrant entitling the holder to purchase one common share at an exercise price of $0.05 for a period of five years from the date of issuance.
In connection with the closing of the Financing, the Company paid a cash fee of $47,000 and issued 3,170,000 non-transferable broker warrants to IBK Capital Corp. Each broker warrant entitles the holder to purchase one Unit at a price of $0.05 until February 9, 2028.
All securities issued and issuable pursuant to the Financing will be subject to a hold period of four months and one day from the date of closing.
In addition, the Company announces that, further to the news release dated November 15, 2022, the management cease trade order imposed by the Ontario Securities Commission at the request of the Company lapsed on January 31, 2023.
